CIG Pannónia Life Insurance Public Limited Company (registered office: 1097 Budapest, Könyves Kálmán krt. 11, Building “B”; company registration number: 01 10 045857; registering court: Company Registry of the Budapest Metropolitan Court) (the “Company”) notified its esteemed shareholders and capital market participants on September 17, 2025, that the Company, as well as its wholly-owned subsidiary, CIG Pannónia Első Magyar Általános Biztosító Zrt. (registered office: 1097 Budapest, Könyves Kálmán krt. 11, Building “B”; company registration number: 01-10-046150) (EMABIT) (collectively: CIG Pannónia Insurance Companies), as part of the previously published Growth Strategy outlining development directions and objectives, with the aim of strengthening its alternative (so-called “affinity”) sales channel,

With respect to portfolios consisting of group insurance contracts, it has entered into portfolio transfer agreements in accordance with the provisions of Section 118 of Act LXXXVIII of 2014 on Insurance Activities (Bit.) , pursuant to Section 118 of Act LXXXVIII of 2014 on Insurance Activities; with respect to those specified in points 1–3, the Hungarian Competition Authority found no grounds to initiate an investigation, and the Hungarian National Bank granted its approval in this regard.
In this notice, we will publish immediately upon receipt—that is, on September 1, 2026—that, in the case of Europ Assistance S.A. Irish Branch, as set forth in Section 4, the French insurance supervisory authority, the Autorité de Contrôle Prudentiel et de Résolution (ACPR), has also approved the transfer of the insurance portfolio, thereby fully concluding the previously announced process.
The Company's Board of Directors reiterates that the content of the above transaction elements fits well into the framework of the previously published Growth Strategy, which sets out the directions and objectives for development, and should be considered a key element of that strategy, contributing to the goal of transforming CIG Pannónia Insurance into a reliable, large-scale composite insurer with a stable background and a portfolio of life and non-life insurance products in the coming period.
