The amendments to the Articles of Association occurred as a result of the General Meeting resolution that elected Ákos Veisz as a member of the Supervisory Board of the Company. Among the reasons for amending the Articles of Association were that „B” and „C” types of interest bearing shares were automatically converted into ordinary shares on 11 September 2017 according to General Meeting resolutions No. 27/2012. (VIII.16.) and 28/2012. (VIII.16.) and the provisions of the investor information memorandum and the share conversation agreement. And in accordance with the decision of the Board of Directors of 12 September 2017 on the capital increase with HUF 245,249,240, effected by means of a private placement by issuing 6,131,231 pieces of registered dematerialized “A” type ordinary shares representing voting rights of nominal value HUF 40 per each. The share capital of the Company increased to HUF 2.851.822.920.
