EXTRAORDINARY INFORMATION about the subsidiary involved in the consolidation

CIG Pannonia Life Insurance Plc. (headquarters: H-1097 Budapest, Könyves Kálmán körút 11.B, company registration nr.: 01 10 045857, hereinafter referred as Company) herby informs Esteemed Investors that decided to increase the share capital of its subsidiary CIG Pannónia Első Magyar Általános Biztosító Zrt. (EMABIT) by HUF 5,000,000. As a result of the capital increase, the new share capital of EMABIT is HUF 1,065,000,000, ie HUF one billion to sixty-five million. The share capital will be increased by the private placement of 5 (five) new dematerialized registered ordinary shares with a nominal value of HUF 1,000,000 (one million) and an issue value of HUF 300,000,000 (three hundred million) by paying a cash contribution. The shares represent the same rights as the shares previously issued. The entire share capital increase will be carried out by CIG Pannónia Life Insurance Plc., as the sole owner of EMABIT. All shares will be taken over by the Company.

Simultaneously with the share capital increase, the Company places the difference between the issue and the nominal value of the shares, i.e HUF 1,495,000,000, (one billion to four hundred and ninety-five thousand forints) in the capital reserve of EMABIT.

The Company informs the Esteemed Shareholders that the capital increase and the capital reserve were established in accordance with the new strategic ideas of the Company in order to finance the operation of the newly established domestic-focused property insurance business lines. The direct intention of the Company and an important element of its new strategy - by strengthening sales and internal lines of defense and capital position - is to relaunch and operate EMABIT's activities in a transparent manner with the need for growth and certain elements.
